California Residents

If you reside in California, you waive your rights under California Civil Code Section 1542, which provides that a general release does not extend to claims the creditor does not know or suspect to exist in their favor at the time of executing the release. TAG's Right to Defend

Terrell Advisory Group reserves the right to assume exclusive control of the defense of any matter for which you are required to indemnify TAG. You agree to cooperate fully with TAG in the defense of any such claims and agree not to settle any matter without prior written consent from Terrell Advisory Group.

Notice of Claims

TAG will make reasonable efforts to notify you of any claim or legal action that triggers your indemnification obligations as soon as we become aware of it.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL WE (OR OUR AFFILIATES) BE RESPONSIBLE TO YOU OR ANY OTHER PERSON FOR ANY LOST PROFITS OR ANY INDIRECT, SPECIAL, OR PUNITIVE DAMAGES THAT COME FROM OR RELATE TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, EVEN IF WE HAVE BEEN TOLD ABOUT THE POSSIBILITY OF SUCH DAMAGES. ACCESSING AND USING THE SITE AND SERVICES IS AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR LOSS OF DATA THAT MIGHT RESULT.

Maximum Liability Cap

Regardless of the basis of any claim, our total liability to you for any damages related to these Terms shall always be limited to the greater of: (A) fifty US dollars ($50); or (B) the amounts you have paid to Terrell Advisory Group in the twelve (12) months preceding the claim, if any. Having more than one claim will not increase this limit.

Jurisdictional Variations

SOME JURISDICTIONS DO NOT ALLOW LIMITS ON LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU IN FULL. IN SUCH CASES, TAG'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

Term and Termination

These Terms will remain in full force and effect for as long as you are accessing or using the Site or Services.

TAG's Right to Terminate

Terrell Advisory Group may, at its sole discretion and at any time: (a) temporarily suspend your ability to access the Site; or (b) terminate these Terms entirely, including in situations where you have violated any provision of these Terms while using the Site or Services.

Effect of Termination

You understand and agree that if TAG ends or suspends the Services, any Content you have submitted through the Site may be deleted. TAG shall not be liable to you or any third party for any such termination or deletion.

Survival

Provisions of these Terms that by their nature should survive termination — including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall survive the termination of your access to the Site or Services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without giving effect to any choice or conflict of law provisions.

Governing Law and Venue

If there is any legal action or dispute relating to these Terms, the Site, or the Services (a "claim"), it must be brought in a state court in Stark County, Ohio, or a federal court in Akron, Ohio. Both parties agree to submit to the personal jurisdiction of these courts and comply with their rules. Notwithstanding the foregoing, TAG retains the right to seek injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property or confidential information.

If we cannot solve it to your satisfaction, we will help you find a fair and low-cost way to resolve the issue quickly. You agree to notify us of any problem by emailing us at Info@ta-grp.com before pursuing any formal legal action.

Alternative Dispute Resolution

For any claim where the amount sought is less than $10,000 USD, you may choose to resolve the dispute through a streamlined arbitration process that does not require a personal appearance. This will be conducted by a mutually agreed-upon recognized arbitration provider and may occur by phone, online, or through written submissions — with no in-person appearances unless both parties agree. Any award rendered by the arbitrator may be enforced in any court of competent jurisdiction.

Improperly Filed Claims

All claims between you and Terrell Advisory Group must comply with this Section 13. Claims that do not comply will be considered improperly filed. If you file a non-compliant claim, TAG may recover attorney fees and costs up to $1,000, provided we have notified you in writing and you have not promptly withdrawn the claim. Conversely, if TAG files a non-compliant claim, you may recover attorney fees and costs up to $1,000 under the same conditions. These remedies do not limit any other legal options available to either party.

Arbitration

If a claim proceeds to arbitration as an alternative dispute resolution method, such arbitration shall be conducted separately and in accordance with the applicable arbitration rules agreed upon at the time.

Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any signed engagement agreement between you and TAG, constitute the entire agreement between you and Terrell Advisory Group regarding your use of the Site and Services, and supersede all prior or contemporaneous communications, representations, or proposals.

User Submissions

Terrell Advisory Group welcomes your comments and submissions. When you submit your own content — including images, text, and videos (collectively "User-Generated Content" or "UGC") — to TAG's website, mobile applications, or social media pages (together the "Services"), you agree to comply with these Terms of Use. If you do not agree, please do not submit any UGC.

Eligibility and Ownership

You are at least eighteen (18) years old and considered an adult in the state or country where you reside.

You own all rights to the UGC, including any photos or videos included within it.

You have the full authority and power to agree to these Terms of Use.

The UGC is your own original work — not copied from another website or social media platform — and does not violate anyone else's rights.

Content Standards

The UGC does not include personal information about yourself or anyone else, such as names, addresses, or confidential business information.

The UGC does not include trademarks, logos, brand names, or advertising belonging to any party other than you or Terrell Advisory Group.

The UGC does not contain anything illegal, harmful, false, defamatory, or offensive.

The UGC does not promote any products, services, or commercial activities other than those offered by Terrell Advisory Group.

The UGC does not contain harmful material such as viruses, malware, or any other programming that could damage TAG's systems or data.

Rights and Permissions

You have obtained permission from any individual appearing in the UGC to grant TAG the rights to use it as described in these Terms.

Your submission of the UGC does not violate any laws or the platform rules of any social media network on which it was originally posted.

The use of your UGC by TAG and others as described in these Terms will not violate anyone else's rights or breach any applicable laws.

TAG's use of your UGC does not require any payment to any third party or additional permissions beyond those granted herein.

You have read and agree to comply with all terms set forth in these Terms of Use.

Legal Permissions and Moral Rights

You agree to provide all permissions required by law to allow TAG to use your UGC and the rights you are granting under these Terms. If requested, you will sign any documents needed to protect or enforce those rights. You also waive any moral rights or similar rights you may have under current or future laws in any jurisdiction worldwide. You will not have the right to approve or review how your UGC is used, and you will not receive any compensation for its use.

TAG's Discretion

Whether we use your UGC is entirely at our discretion. We are not required to use your UGC and may remove or stop using it at any time, for any reason, without notice. The use of your UGC by TAG does not imply any affiliation with, endorsement of, or connection to you.

Other Users' Access

By submitting UGC to the Services, you also permit other users to access, view, save, share, or reproduce your UGC for their personal, non-commercial use. The Licensed Parties are not required to keep your UGC private and may edit, copy, modify, display, publish, and distribute any UGC you provide without compensation to you or any third party. By allowing your UGC to appear on the Services, you acknowledge that the Licensed Parties are not publishers of that content — they simply facilitate your ability to share and display it. The Licensed Parties do not guarantee the accuracy, completeness, or reliability of any UGC submitted or shared by you or any other user.

Disclosure of Relationships

If you have a special connection to Terrell Advisory Group — such as being an employee, agency partner, sponsored contributor, or paid influencer — you are required to disclose that relationship clearly and conspicuously whenever you post UGC related to TAG or its services.

License Grant

By submitting your UGC, you grant Terrell Advisory Group and its related companies, partners, agents, and service providers (the "Licensed Parties") a worldwide, perpetual, irrevocable, royalty-free license to publish, share, modify, distribute, print, post, and create derivative works from your UGC for their business and marketing purposes. This includes use on TAG's website, in promotional emails, advertisements, and other marketing materials — across any media now known or hereafter developed — with or without your username, real name, image, voice, location, or other identifying information.

Where applicable, you also authorize the Licensed Parties to use your username, real name, image, voice, and other identifying information in connection with your UGC as described in these Terms of Use.

Prohibited Content

By using the Services, you agree that you will not post or share any of the following:

Anything that disrupts or interferes with the Services or their normal operation.

Anything that is rude, offensive, false, misleading, or that violates any applicable law.

Unauthorized copyrighted materials or anything that infringes on another party's intellectual property or other rights.

Anything that encourages illegal activity or could expose TAG or any user to legal liability.

Anything that could harm, exploit, or endanger minors.

Anything that impersonates another person or misrepresents your affiliation with any individual or organization.

Files containing harmful code, viruses, or any software designed to damage or compromise another person's computer, device, or network.

Indemnification for UGC

By granting the Licensed Parties the right to use your UGC, you release and hold them harmless from any claims, actions, losses, or legal proceedings that may arise from their use of your UGC, or from any violation of these Terms of Use by you. This indemnification is in addition to and does not limit the general indemnification obligations set forth in Section 10 of these Terms.

Mobile Information and SMS Registration Data

Terrell Advisory Group is committed to protecting your privacy. Mobile information, including SMS registration data, will not be shared with third parties for marketing or promotional purposes under any circumstances.

Consent to Receive Messages

By providing your phone number, you consent to receive text messages from Terrell Advisory Group, which may include two-factor authentication codes, appointment or session reminders, and other service-related communications. Message frequency may vary. On average, you may receive 1–2 messages per month. Message and data rates may apply.

How to Opt Out

To stop receiving messages at any time, reply STOP to any message you receive from us.
